ONE PERSON COMPANY (OPC)


According to section 2 (62) of the companies Act, 2013, ‘One Person Company (OPC)’ means a company which has only one person as a member. Further, An OPC is owned and can be managed by one person as the sole member and director.


Member of OPC:

  1. Only a natural person (Rule 3(1)(a)
  2. The person should be an Indian citizen and resident in India only (Rule 3(1)(a)
  3. No person shall be eligible to incorporate more than one OPC (Rule 3(2)
  4. A member of OPC becomes a member in another OPC, by virtue of his being a nominee in that OPC; such member shall meet the eligibility criteria specified in sub rule (2) of rule 3 within a period of one hundred and eighty (180) days (Rule 3 (3)
  5. No minor shall become member OPC or can hold share with beneficial interest (Rule 3 (4).

Nominee of OPC:

  1. Only a natural person can become a nominee (Rule 3(1) (b)
  2. The nominee should be an Indian citizen and resident in India only (Rule 3(1) (b)
  3. No person a become nominee in more than one OPC (Rule 3(2)
  4. No minor shall become nominee of the OPC (Rule 3 (4)

Paid up share capital: Minimum paid up capital of Rs. 1,00,000/- (Rupees One Lakh)

PROCEDURE

Step 1: Apply for DSC

Step 2: Apply for DIN

Step 3: Name Approval Application

The next step while incorporating an OPC is to decide on the name of the Company. The name of the Company will be in the form of “ABC (OPC) Private Limited”.

Step 5: Filing of Forms With MCA

All these documents will be attached to the SPICe Form, SPICe-MOA and SPICe-AOA along with the DSC of the Director and the professional, and will be uploaded to the MCA site for approval.

Step 6: Issue of the Certificate of Incorporation

Documents Required:-

We have to prepare the following documents which are required to be submitted to the ROC:

  • The Memorandum of Association (MoA)
  • The Articles of the Association (AoA)
  • Proof of Address of Director as well as Nominee i.e. PAN card and Aadhar Card.
  • Proof of the Registered office of the proposed Company along with the proof of ownership and a NOC from the owner.
  • Declaration and Consent of the proposed Director
  • A declaration by the professional certifying that all compliances have been made.

Checklist For Registering OPC

  • Minimum and Maximum of one member.
  • A nominee should be appointed before incorporation.
  • Consent of the nominee should be obtained in Form INC-3.
  • The name of the OPC must be selected as per the provisions of the Companies (Incorporation Rules) 2014.
  • Minimum authorised capital of Rs.1 lakh.
  • DSC of the proposed director.
  • Proof of registered office of the OPC.
